The annual report keeps your company's information current with the Florida Division of Corporations and keeps the company in active status. It is filed online through Sunbiz.
When it is due
The filing window opens on January 1 and the report is due by May 1 each year. Filing early in the window is the simplest way to avoid trouble.
What it costs
The state sets the filing fee by entity type. For an LLC the base fee has been $138.75, and for a for-profit corporation $150. A late fee of $400 applies to LLCs and for-profit corporations that file after May 1. Fees can change, so confirm the current amounts on Sunbiz before filing.
What you update
The report confirms or updates the principal and mailing addresses, the registered agent, and the managers, members or officers. Check every name and address before you submit.
If you miss it
A company that has not filed by the state's deadline in September can be administratively dissolved. A dissolved company can usually be reinstated by filing the missing reports and fees, but it is far easier to file on time.
